Ready-to-Use Image Use Assignment Agreement Template

This ready-to-use image use assignment agreement template helps photographers, creators, businesses, and individuals record permission to use a person’s image. It covers the parties, permitted media, purpose, territory, term, compensation, approvals, and signature requirements in a clear written format.

An image use assignment agreement records permission for a person’s image, likeness, voice, or recorded appearance to be used under agreed conditions. It is commonly used by photographers, agencies, employers, event organizers, publishers, and businesses. A written agreement helps both parties identify what is permitted and avoid misunderstandings about channels, duration, payment, and revocation. The exact legal effect of a document depends on the applicable law and the wording used.

What an image use assignment agreement does

This agreement authorizes the recipient of the rights to reproduce, publish, distribute, display, or otherwise use specified visual material featuring the granting party. It should describe whether the authorization is exclusive or non-exclusive and whether it applies to photographs, videos, audio-visual recordings, or digital content.

The document is especially useful where content may be used commercially, including advertising, social media, websites, printed materials, product packaging, presentations, or press campaigns.

Assignment versus permission

An assignment may transfer certain rights or grant broad authority to use the image, while a permission or release may be limited to particular purposes. The parties should use language that accurately reflects their intended arrangement and local legal requirements.

Key information to include

Identify the parties using their full legal names and contact details. Describe the images or recordings precisely enough that both parties can identify the covered material, such as the date, location, project name, file references, or attached schedule.

Scope, duration, and restrictions

The scope clause should state where and how the image may be used. Parties may limit use to a named campaign, a particular publication, internal communications, a website, or specific social media accounts. They can also prohibit editing, sublicensing, use with sensitive subjects, or use that could harm the depicted person’s reputation.

Commercial and editorial uses

Commercial use promotes a product, service, brand, or business activity and often requires particularly clear consent. Editorial use may have different rules depending on the jurisdiction, the context of publication, privacy rights, and whether the person is recognizable.

  • Specify each permitted medium, including print, web, video, and social media.
  • State whether the authorization is exclusive or non-exclusive.
  • Define the geographic territory, such as a country, region, or worldwide.
  • Set a start date and an end date, or clearly state if the term is indefinite where lawful.
  • Describe any restrictions on editing, transfer, sublicensing, or association with products.

Compensation and approval arrangements

The parties should state whether the authorization is granted without charge, for a one-time payment, or in exchange for royalties or another benefit. If payment is due, include the amount, currency, due date, payment method, and whether taxes or expenses are included.

An approval process can be included when the depicted person wishes to review use before publication. If no approval right exists, the agreement should say so clearly to avoid an expectation that every future use must be pre-approved.

Keep a signed copy together with the original image files and a record of the project, date, and location; this makes it easier to prove the scope of consent later.

How to complete the template

Complete the agreement before the planned use whenever possible. Read each clause carefully, ensure that all blanks are completed, and attach a schedule or sample image when a precise identification of the material is important.

  1. Enter the full names, addresses, and identification details of both parties.
  2. Describe the images, recordings, campaign, or project covered by the agreement.
  3. Choose the permitted uses, territory, duration, restrictions, and compensation terms.
  4. Have all relevant parties sign and retain dated copies of the completed agreement.

Frequently asked questions

Can an image use agreement be revoked?

That depends on the contract terms and the law governing the agreement. A document may address revocation, notice requirements, and the treatment of material already published or produced before revocation.

Is payment always required?

No. Permission may be unpaid, but the agreement should clearly state that no compensation is due or specify the payment that will be made. Clear wording helps prevent later disputes.

In many jurisdictions, consent from a parent or legal guardian is required for a minor. The agreement should identify the guardian and confirm their authority to sign on the minor’s behalf.
