Terms and Conditions

  1. Appointment. The Merchant appoints the Affiliate on a non-exclusive basis to promote the products or services identified in this Agreement using approved marketing materials and methods.
  2. Independent contractor. The Affiliate acts as an independent contractor and has no authority to bind the Merchant, make representations on its behalf, or create obligations for the Merchant.
  3. Commissions. The Merchant shall pay the Affiliate commissions in accordance with the commission structure stated above for qualified transactions properly tracked through the agreed system.
  4. Exclusions. No commission shall be due for cancelled, refunded, fraudulent, chargeback, duplicate, or otherwise non-qualifying transactions, unless the Parties agree otherwise in writing.
  5. Promotion standards. The Affiliate shall not make false, misleading, or unsubstantiated claims; send unsolicited communications in violation of law; or use the Merchant’s name, trademarks, or materials except as expressly authorized.
  6. Disclosure and compliance. The Affiliate shall make all legally required advertising and affiliate disclosures and shall comply with applicable consumer protection, privacy, marketing, and tax requirements.
  7. Intellectual property. The Merchant grants the Affiliate a limited, non-transferable, revocable licence to use approved branding and promotional materials solely during the term of this Agreement.
  8. Confidentiality. Each Party shall protect the other Party’s non-public business, commercial, technical, and customer information and shall use it only for performing this Agreement.
  9. Term and termination. This Agreement begins on the effective date and continues until terminated by either Party upon ____________________ days’ written notice. The Merchant may terminate immediately for material breach, fraud, unlawful conduct, or misuse of intellectual property.
