Ready-to-Use MEI Service Agreement Contract Template
This MEI service agreement template helps a Microentrepreneur Individual and a client record the essential terms of an independent service relationship. It covers the service scope, fees, payment schedule, delivery dates, responsibilities, confidentiality, termination, and signatures, helping both parties reduce misunderstandings and document their commercial arrangement clearly.
A MEI service agreement is a written contract used when an individual microentrepreneur provides services to a client. It records what will be delivered, when the work must be completed, how much will be paid, and what each party is expected to do. A clear agreement helps prevent disputes about scope, deadlines, invoices, and acceptance of the services. This template is designed as a practical starting point and should be adapted to the transaction and the applicable law.
Purpose of a MEI service agreement
The agreement formalizes a commercial relationship between the service provider, operating as a MEI, and the client. It should make clear that the provider performs the services independently and is responsible for the obligations assigned under the contract.
Although a short agreement may be suitable for simple work, written terms are especially useful when the services involve recurring tasks, confidential information, significant fees, or deliverables that require client approval.
Independent relationship
The contract should describe the relationship accurately. Avoid language that creates obligations inconsistent with an independent service arrangement, particularly where local employment, tax, consumer, or regulatory rules may apply.
Information to include
Identify both parties with their full legal names, registration or tax details where relevant, addresses, and authorized contact information. Describe the services precisely enough that a third party could understand the expected work and its limits.
| Contract field | Purpose | Common error |
|---|---|---|
| Parties | Identifies the provider and client | Using only a trade name |
| Scope of services | Defines tasks and deliverables | Using vague descriptions |
| Fees and payment | Sets price, due date, and payment method | Not stating taxes or late-payment terms |
| Term and deadlines | Establishes start, end, and delivery dates | Leaving the completion date blank |
| Termination | Explains how either party may end the agreement | Failing to address work already completed |
Scope, deliverables, and deadlines
The scope clause should state the services, deliverables, technical requirements, number of revisions if applicable, and any exclusions. If the client must provide materials, access, approvals, or instructions, those responsibilities should be stated as well.
Managing changes
Changes to the original scope should be documented in writing before additional work begins. The written change should identify the new work, any adjusted fee, and any revised deadline.
- Describe the specific services to be performed.
- List the expected deliverables and acceptance criteria.
- State the agreed delivery dates or milestones.
- Specify materials or access the client must provide.
- Record exclusions and work requiring separate approval.

Fees, invoices, and payment
The agreement should state whether the fee is fixed, hourly, periodic, or calculated by milestone. It should also identify the currency, invoicing procedure, payment method, due date, and treatment of approved expenses.
Where permitted by law, the parties may include a reasonable late-payment provision. The MEI should issue invoices and comply with applicable tax, registration, and reporting requirements.
Practical recommendation: do not begin substantial work until the scope, price, and payment timing have been confirmed in writing by both parties.
Confidentiality, ownership, and termination
If the provider will access non-public business information, the agreement should define what is confidential, how it may be used, and how long confidentiality obligations continue. Intellectual property terms should state who owns pre-existing materials and who will own or receive rights to the final deliverables.
A termination clause should explain notice requirements, the right to end the agreement for material breach, payment for services already performed, and return or deletion of client materials where appropriate.
- Confirm the parties’ identification details.
- Define the service scope, deliverables, and deadlines.
- Agree on fees, invoicing, and payment dates.
- Review, sign, and keep a copy of the final agreement.
