A contract settlement receipt is a written acknowledgment that payment or another agreed consideration has been received in connection with a contract. It is commonly used when the parties want to document that specified obligations have been fulfilled and that the contractual relationship is being closed. A clear receipt reduces uncertainty about what was paid, when payment was made, and whether any amounts remain outstanding. Its wording should match the actual agreement and the applicable law.

What a contract settlement receipt does

This document records a settlement event: one party confirms receipt of a defined amount, item, service, or other consideration from the other party. Depending on its wording, it may also confirm that the receiving party has no further claims arising from the contract, except for matters expressly reserved.

A receipt is not automatically the same as a full release or termination agreement. If the parties intend to waive rights broadly, resolve a dispute, or end continuing obligations, they should state that intention precisely and consider obtaining legal advice.

Receipt, release, and termination are different concepts

A receipt proves receipt of payment or consideration. A release may waive claims, while a termination agreement addresses the end of the contractual relationship. One document can cover all three issues, but only if its language clearly identifies the intended legal effect.

Identify the original contract by date, title, reference number, and subject matter. State the names and contact details of both parties, then describe the settlement payment or consideration with enough detail to avoid ambiguity.

Use exact payment details

State the amount both numerically and in words, identify the currency, and specify the payment method. Where payment is by bank transfer, include a transaction or reference number and attach proof of payment where appropriate.

Key checks before signing

Review the original contract, any amendments, invoices, correspondence, and payment records before preparing the receipt. Ensure that the person signing for a company has authority to bind that company and that the receipt reflects any tax, withholding, or invoice requirements.

  • Confirm the legal names of both parties.
  • Check the contract date, title, and reference number.
  • Verify the amount, currency, and payment method.
  • Define exactly which obligations are settled.
  • List any rights or duties that remain in force.

How to complete the template

Common drafting issues

Ambiguous language can create disputes after the payment has been made. For example, saying that a party is “paid in full” may be unclear if interest, costs, taxes, future services, warranties, or confidentiality duties are not addressed.

A receipt should not claim that payment was received before it has actually cleared, unless it expressly says that it is conditional upon clearance. The document should also avoid inconsistent dates, incomplete signatures, and references to contracts that do not match the attached records.

Frequently asked questions

Does a settlement receipt end the contract?

Not necessarily. It confirms the matters stated in it, but a contract may contain obligations that continue after payment, such as confidentiality, warranties, indemnities, or record-keeping duties.

Should both parties sign the receipt?

The receiving party should sign to acknowledge receipt. Having both parties sign is often preferable because it provides clearer evidence that they agree on the scope and effect of the settlement.

Can a receipt waive future claims?

It may do so if it contains a valid and sufficiently clear release clause, but enforceability depends on the wording, the circumstances, and the law that applies. Some rights cannot be waived or require special formalities.
