Ready-to-Use Equipment Purchase and Sale Agreement

This ready-to-use equipment purchase and sale agreement helps buyers and sellers document the transaction of machinery, tools, technology, or other business equipment. It covers the equipment description, purchase price, payment method, delivery, inspection, warranties, risk transfer, and signatures.

An equipment purchase and sale agreement records the essential terms under which one party sells equipment to another. It is useful for transactions involving machinery, office assets, vehicles, industrial tools, technology, and other movable business property. A written agreement helps both parties identify exactly what is being sold, establish the price and payment method, and allocate responsibilities for delivery and condition. It can also reduce disputes about warranties, ownership, and the transfer of risk.

Purpose of an Equipment Purchase and Sale Agreement

This agreement establishes the commercial terms of an equipment transaction between a seller and a buyer. It should describe the asset precisely enough that there is no uncertainty about the items included in the sale.

Whether the equipment is new, used, refurbished, or sold "as is," the document should state its condition and any agreed warranty. Parties should retain signed copies together with invoices, delivery records, inspection reports, and proof of payment.

When to use this template

Use this template when transferring ownership of identifiable equipment for a stated price. It can be adapted for a single item or a list of related items, provided each item is clearly described in an attached schedule if necessary.

Information to Include Before Signing

Confirm the legal names and contact details of both parties, including company registration details where applicable. The agreement should also identify the equipment by make, model, serial number, asset tag, quantity, and relevant accessories or documentation.

Document fieldPurposeFrequent error
Equipment descriptionIdentifies the asset being transferredUsing only a general product name

Purchase priceSets the total amount payableNot stating whether taxes are included
Delivery date and placeAllocates delivery obligationsLeaving the collection or shipping party unclear
Warranty conditionDefines post-sale responsibilityUsing vague wording about condition

Price, Payment, and Taxes

The agreement should state the total purchase price, currency, deposit amount if any, payment deadline, and accepted payment method. If payment is made in instalments, specify each due date and the consequences of late payment.

Tax treatment is especially important in business transactions. State whether sales tax, VAT, duties, transport costs, insurance, installation, and related charges are included in the price or payable separately.

Ownership and risk transfer

Ownership may transfer upon full payment, delivery, or another expressly agreed event. Risk of loss or damage should also be addressed separately, particularly when the equipment is transported by a carrier or collected by the buyer.

Condition, Inspection, and Warranties

The buyer should have an opportunity to inspect or test the equipment before acceptance, where reasonably possible. The agreement may include an inspection period and identify any known defects, missing parts, maintenance history, or required repairs.

  • State whether the equipment is new, used, refurbished, or sold as is.
  • List known defects and operational limitations.
  • Identify included accessories, manuals, keys, software, and spare parts.
  • Specify any manufacturer warranty being transferred.
  • Describe the seller's responsibility for undisclosed defects, if applicable.
Practical recommendation: attach photographs, serial-number records, and a signed delivery or acceptance form to create a clear record of the equipment's condition at handover.

Delivery and Acceptance Procedure

Delivery provisions should identify the place, date, transport arrangements, packaging requirements, and party responsible for loading, unloading, insurance, and freight costs. If installation or training is part of the transaction, describe its scope and completion deadline.

  1. Verify the equipment description, serial numbers, and included items.
  2. Confirm the agreed price, taxes, and payment schedule.
  3. Record the delivery location, date, and responsible party.
  4. Sign an acceptance record once the equipment is received and inspected.

Default, Termination, and Dispute Management

The parties may define what happens if payment is late, delivery is delayed, or the equipment materially differs from the agreed description. Remedies may include a cure period, cancellation, return of the equipment, reimbursement, or other remedies permitted by applicable law.

Select the governing law and dispute-resolution method with care, especially where the parties operate in different jurisdictions. Local consumer, commercial, tax, registration, and product-safety rules may impose mandatory requirements.

Frequently Asked Questions

Can this agreement be used for used equipment?

Yes. For used equipment, provide a detailed description of its condition, known defects, maintenance history, hours of use where relevant, and the precise scope of any warranty or "as is" arrangement.

Should the agreement include a serial number?

Yes, whenever a serial number, VIN, asset number, or manufacturer identification number exists. It is one of the most effective ways to identify the exact equipment being sold.

Is a delivery receipt necessary?

A signed delivery or acceptance receipt is strongly recommended. It documents when possession was transferred, what was received, and whether visible damage or missing items were noted at delivery.
